Amber Beverage Group Holding S.à r.l. (the “Company”) as the Issuer hereby announces that, by judgment of the District Court of Luxembourg sitting in commercial matters dated 24 April 2026, the Company was granted the opening of judicial reorganisation proceedings (réorganisation judiciaire) pursuant to articles 12 et seq. and 38 et seq. of the Luxembourg Law of 7 August 2023 on the preservation of undertakings and modernisation of bankruptcy law (the “Law”).
The Court has granted the Company a moratorium (sursis) of four months, expiring on 24 August 2026, extendable under article 33 of the Law.
The proceedings are aimed at enabling the Company (i) primarily, to enter into an amicable agreement with its principal financial creditors under article 11 of the Law and (ii) alternatively, to obtain creditor approval of a reorganisation plan under articles 38 to 54 of the Law. Noteholders will be addressed in this context.
Pursuant to articles 25 to 32 of the Law, the moratorium suspends, in respect of claims arising prior to the opening judgment, any enforcement measure, any protective or executory seizure, and the enforcement of the security and guarantees granted in favour of the Noteholders. Any previously notified event of default in respect of the Notes is therefore stayed for the duration of the moratorium and cannot give rise to acceleration or enforcement.
The Company has appointed Alvarez & Marsal (London) as its restructuring advisor to assist with the design and implementation of the restructuring plan. CSC (Sweden) AB has been notified in its capacity as Trustee and is requested to communicate with Noteholders accordingly.
This filing does not affect the business operations of the Company's subsidiaries, and the Group's operations continue as usual.
The Company will provide further updates on the progress of the proceedings as appropriate.
